These Terms of Service ("Terms") govern your access to and use of BuyerSignal (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 and legally able to enter into a binding contract. Research participants must have authority to participate in paid research consistent with their employer's policies.

2. Accounts and Workspaces

You are responsible for activity under your account and workspace, for maintaining the confidentiality of credentials, and for ensuring that members you invite are authorized to act on your behalf.

3. Marketplace Role

BuyerSignal is a neutral platform that connects vendors with research participants. We are not a party to the substantive research conversations or the underlying employment relationships of participants. We provide tooling for compliance, payment, and audit.

4. Compensation, Payouts, and Fees

Vendors pay for completed, validated research sessions. Participants receive compensation for their time, not for any specific outcome or opinion. Platform fees, taxes, and payout schedules are described in your workspace settings. Refunds for invalidated sessions follow our dispute process.

5. Conduct and Prohibited Use

  • No bribery, kickbacks, or quid pro quo arrangements tied to purchasing decisions.
  • No requests for confidential, privileged, or trade-secret information from a participant's employer.
  • No discrimination or targeting of legally protected classes.
  • No fraudulent identities, fabricated profiles, or manipulated session evidence.
  • Compliance with applicable laws including the Foreign Corrupt Practices Act, anti-kickback statutes, GDPR, and CCPA.

6. Intellectual Property

You retain ownership of your content. You grant us a limited license to host, display, and process it as needed to operate the Service. The Service, including software, design, and brand, remains our property.

7. Confidentiality

Both parties to a research session agree to handle the other's confidential information with reasonable care. Vendors should not solicit, and participants should not share, information that would breach an employer's confidentiality obligations.

8. Termination

We may suspend or terminate accounts that violate these Terms, present compliance risk, or are inactive for extended periods. You may terminate at any time from account settings.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that any specific business outcome will result from its use.

10. Limitation of Liability

To the maximum extent permitted by law, BuyerSignal's aggregate liability arising out of or relating to the Service is limited to the greater of the fees paid by you to us in the twelve months preceding the claim, or US$100.

11. Indemnification

You agree to indemnify and hold harmless BuyerSignal, its affiliates, officers, and employees from any claims arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes will be resolved exclusively in the state and federal courts located in Delaware.

13. Changes

We may update these Terms. Material changes will be notified in advance where reasonably possible. Continued use after changes constitutes acceptance.
